Rep Commission Agreement

Version 1.0.1 · Effective 2026-10-22

This Rep Commission Agreement (the "Agreement") is between Oceanfront Ventures Group, Inc., a Delaware corporation doing business as Yacht Masters Hub ("Company"), and the person who accepts it in the Yacht Masters Hub rep portal ("Rep"). Rep must be 18 or older.

Acceptance. A summary of this Agreement and a link to its full text are shown before the acceptance box, which is unticked. The Agreement takes effect when Rep ticks "I accept the rep agreement" and taps "Accept and open my portal" (the "Effective Date"). Company records Rep's account, the version accepted and the time of acceptance, and keeps each published version of this text.

1 Agreed Services

1.1 Agreed Services. Rep may promote Yacht Masters Hub through services agreed with Company from time to time ("Agreed Services"). Agreed Services may include, for example, walking docks and marinas, introducing Yacht Masters Hub to owners, captains and crew, and posting about Yacht Masters Hub on social media. Company and Rep may agree other services in writing, including by email.

1.2 No required volume. Rep chooses when, where and how often to provide Agreed Services. Nothing in this Agreement requires a minimum number of posts, visits, introductions or sales.

1.3 Company materials. The rep portal gives Rep a personal referral link and QR code. Company may also supply approved product facts and brand assets separately. Company grants Rep a limited, revocable, nonexclusive licence to use Company's name, logo and brand assets only to provide Agreed Services, and Rep stops using them when this Agreement ends or when Company asks.

1.4 Accurate claims. Rep uses only accurate, approved product claims and does not present unavailable features as currently available.

1.5 Permission to work. Rep confirms that Rep is allowed to do this work, and to receive commission for it, wherever Rep does it, including under any visa or employment terms that apply to Rep.

2 Disclosure and conduct

2.1 Disclosure. Rep always tells people that Rep is paid if they join, in person, in messages and in posts, including when recommending Yacht Masters Hub to an owner or employer Rep works for.

2.2 Disclosure in posts. In posts and videos the disclosure is clear and up front, not only in hashtags or behind "more", for example "I earn a commission if you subscribe to Yacht Masters Hub". Rep uses the platform's paid partnership label where one applies, and the word "Ad" where the law of the audience requires it. The share text and the dock view in the rep portal carry a disclosure; Rep does not remove it. Company may ask Rep to correct or remove a post, and Rep does so promptly.

2.3 Truthful endorsements. Anything Rep says about Yacht Masters Hub reflects Rep's actual experience and Company's approved product facts. Rep does not post fake reviews or pose as a customer.

2.4 Conduct. Rep follows the rules of each marina, dock and platform, and anti-spam and text messaging laws. Rep does not use spam, paid search on Company's brand names, misleading offers, or any method that is unlawful or harms Company's reputation.

2.5 No authority. Rep is an independent contractor. Rep cannot bind Company, promise any price, discount or offer other than Company's published prices, or change any customer's subscription terms. Company keeps all customer contracts and account administration.

2.6 Marina check-ins. The rep portal may offer a marina check-in. Rep shares Rep's location only when Rep taps "I'm at the marina", and only after Rep's browser asks for permission. Company uses that location once to find the nearest marina on Company's list and keeps the marina and the date, not the location, and does not track Rep between check-ins. Check-ins are optional, are not proof of a visit, and do not change any commission. Rep does not falsify a check-in. A falsified check-in is a breach of Section 2.4.

3 Referral eligibility and attribution

3.1 Attribution. A customer is attributed to Rep when they come to Yacht Masters Hub through Rep's link or QR code. This is recorded in three ways. The customer opens Rep's link or QR code, and Company records it for that visit. Or the customer arrived through Rep's link or QR code on the same browser within the previous 60 days, having allowed the cookie that remembers it, and no other rep's link or QR code was used first. Or the customer made a Yacht Masters Hub account after arriving that way and checks out signed in to it, or with that account's email. A customer who has not allowed that cookie, and has no account made after arriving that way, is attributed only by Rep's link or QR code opened on the visit where they check out. Company may also attribute a customer to Rep by hand for a direct introduction it records. Where records conflict, the attribution recorded at checkout wins unless Company corrects it by hand for a documented reason. Company applies attribution consistently and in good faith, and the same sale is never credited twice.

3.2 Qualifying customers. A qualifying customer is a new paying customer of a Yacht Masters Hub paid plan who is attributed to Rep under Section 3.1. These do not qualify: a customer who has paid Company before; Rep's own account, or any account using Rep's email or Rep's Stripe customer record; duplicate accounts; and fraudulent or self-generated referrals. Company may review any attribution and correct it by hand.

3.3 Only through Section 3.1. Commission is earned only on customers attributed under Section 3.1. Sales from Company's own advertising or other channels earn no commission unless attributed under Section 3.1.

3.4 No buyer offer. Customers who join through Rep pay Company's normal price. Company may introduce an offer for future customers with notice.

4 Commission

4.1 Rate and window. Company pays Rep twenty percent (20%) of each payment Company actually receives from a qualifying customer for a Yacht Masters Hub subscription during that customer's commission window. The window starts on the date the customer first subscribes to a paid plan and ends twelve (12) months later. It does not reset on renewal or plan change.

4.2 Commission base. Commission is figured on the amount received after any discount and excluding sales tax and VAT. Company does not deduct payment processing fees, overhead or advertising spend. A payment of zero earns no commission.

4.3 Available at once. Each commission becomes available to pay as soon as the payment it comes from is received.

4.4 Refunds and lost disputes. If a payment is refunded, in full or in part, or lost in a payment dispute, the matching commission is taken back. If that commission was already paid, the amount taken back comes off Rep's next commissions, or off any remaining balance when this Agreement ends. Except for fraud or self-referral, Rep is never asked to pay it back in cash.

4.5 Cancellations. When a customer cancels, commission already earned on payments Company keeps is not affected. If the customer later subscribes again, commission resumes only if Company relinks that customer to Rep by hand, at its discretion, and only for the rest of the original window.

5 Statements and payment

5.1 Rep portal. The rep portal shows Rep's available and paid amounts in each currency, and for each customer Rep brought, a boat name or first name, whether the membership is active, and how many commission months are left. For customers' privacy it does not show their email, payments or dates.

5.2 Payment. Company pays Rep's available balance by Wise, monthly, by the 15th of the following month. There is no minimum payment: any positive available balance is paid. Commission is paid in the currency the customer paid in. Company pays its own Wise sending fee; any fee charged on Rep's side is Rep's. Rep provides the Wise details; Company stores no bank or account details in the rep portal.

5.3 Commission only. Rep is paid commission only. There is no retainer, salary, fee or minimum payment, and Company reimburses expenses only when agreed in writing in advance.

5.4 Questions. Rep may ask Company for supporting records for a disputed amount, subject to customer privacy, within ninety (90) days after the payment it relates to. Company pays undisputed amounts on time.

5.5 Taxes. Rep is responsible for Rep's own taxes. Before the first payment Rep provides Form W-9 (US persons), Form W-8BEN (individuals outside the US) or Form W-8BEN-E (companies outside the US), or any other form the law requires. Company may hold payment until the form arrives, issues Form 1099-NEC to US reps where the law requires it, and withholds tax where the law requires it. If Rep is registered for VAT, Rep tells Company, and Rep agrees that Company's commission statements serve as self-billing invoices.

6 Ending the Agreement

6.1 Ending. Either party may end this Agreement, or Company may end the rep programme, on fifteen (15) days' notice by email. The Agreement ends when the notice period ends.

6.2 After ending. Rep's link and QR code stop working. Customers Rep brought before the end (where Company's records show they used Rep's link or QR code, signed up, or began checkout before the end, even if they finish checkout after it) are still attributed to Rep; no other customers are. Commission already earned stays payable and is paid under Section 5. For customers already attributed to Rep, commission keeps accruing for the rest of each customer's 12 month window, and Rep can still sign in to the rep portal to see it. This does not apply when the Agreement ends under Section 6.3.

6.3 Breach. Company may end this Agreement at once for fraud, self-referral, a missing disclosure that is not corrected promptly, or other material breach. Commission on fraudulent or self-referred sales is reversed, even if already earned. Other earned commission stays payable, but no commission accrues on payments after the Agreement ends under this Section.

6.4 Account deletion. If Rep asks Company to delete Rep's account, Company pays any positive available balance first where it can; otherwise the balance lapses.

6.5 Survival. Sections 4.1 to 4.5, 5.1 to 5.5, 6.2, 6.3, 6.4, 7.2, 7.3 and 7.6 survive the end of this Agreement.

7 General

7.1 Relationship. The relationship is nonexclusive. Rep acts as an independent contractor, not an employee, partner or agent of Company, and may promote other products.

7.2 Confidentiality and data. Rep protects Company's nonpublic information and any app access Company provides. Rep uses people's contact details only to make an introduction, shares someone's details with Company only with that person's consent, and never copies, exports or sells customer information.

7.3 Rep's responsibility. Rep is responsible for Rep's own posts and conduct, and covers Company's reasonable costs from claims caused by them, except where Rep followed Company's approved product facts.

7.4 Changes. Company may update this Agreement with at least fifteen (15) days' notice by email. A change to the rate applies only to payments received after the change takes effect. If Rep keeps providing Agreed Services after the notice period, Rep accepts the change; otherwise Rep may end the Agreement under Section 6.1.

7.5 Assignment. Rep may not transfer this Agreement. Company may transfer it with its business.

7.6 Liability. Company's total liability under this Agreement is limited to the commission paid to Rep in the twelve (12) months before the claim, to the extent the law allows.

7.7 Law. This Agreement is governed by the laws of the State of Florida, and disputes are brought in courts located in the State of Florida.

7.8 Severability. If any part of this Agreement is unenforceable, the rest still applies.

7.9 Whole agreement and notices. This Agreement and any Agreed Services confirmed in writing are the whole agreement between Company and Rep about the rep programme. Notices to Company go to support@yachtmastershub.com; notices to Rep go to the email Rep was invited with, or a newer email Rep gives Company.
